LTDnetwork Inc is not responsible for any content such as audio, video, text or any other file owned by users of the Qtrax/Qtraxmax software. Qtrax/Qtraxmax software, its privacy and security features are exposed to various security issues, and should be regarded as unsecured. Therefore by using the Qtrax/Qtraxmax software you may be subject to various risks, including the exposure of information and material you have downloaded or have offered to share.

LTDnetwork Inc. respects the intellectual property of others, and we ask our users to do the same, however, other data and files may have been created or distributed without copyright owner's authorization. Copying or distributing unauthorized data and files may violate both United States and foreign copyright laws. Compliance with both copyright laws remains your responsibility. LTDnetwork Inc, may, in appropriate circumstances and at its discretion, terminate the Qtrax/Qtraxmax services and links of users who infringe upon the intellectual property rights of others.

Description of product and services

QTRAX/QTRAXMAX is a free, Gnutella-based file sharing software allowing users around the world to make peer-to-peer connections with each other.

Please read the following terms and conditions of your non-exclusive licence to use QTRAX/QTRAXMAX before installing or using this software.

If you do not agree to these terms, promptly cease all further installation or use of the software.

THIS LICENCE IS PROVIDED TO INDIVIDUALS WHO ARE AT LEAST 18 YEARS OLD. WE DO NOT ALLOW CHILDREN KNOWN TO BE UNDER THE AGE OF THIRTEEN (13) TO REGISTER FOR OR USE OUR SERVICES. IF YOU ARE UNDER THE AGE OF THIRTEEN (13), DO NOT PROCEED ANY FURTHER.

Acceptance of the terms and conditions of the licence agreement

Installing, registering and using QTRAX/QTRAXMAX signifies acceptance of the terms and conditions of the licence.

By clicking the "I ACCEPT" button and completing the registration process, you are stating that you agree to be bound by all of the terms and conditions of this licence.

QTRAX/QTRAXMAX is offered to you conditioned on your acceptance, without modification, of the terms and conditions contained herein

Registration

If at any time in the future you are required to register to use any of our services or products, you agree to provide true and correct details during the registration process and warrant to us that you are not using another person's personal details in order to register. Upon registration, you will have the option of subscribing to QTRAX/QTRAXMAX's mailing list.

Intellectual property rights

The QTRAX/QTRAXMAX software, logos, look and feel, skins and any documentation accompanying it or downloaded from our site contains copyrighted material.

All patents, copyrights, trade marks, service marks, trade secrets, trade names, business names, domain names, or any other legal rights including but not limited to QTRAX/QTRAXMAX, QTRAX.com, QTRAX.net, QTRAX.org are exclusively owned by us.

Limited Licence Grant

In consideration of your undertaking to comply with the terms and conditions of this licence agreement, we grant you, the licensee, a non-exclusive license to use QTRAX on any computer, for any legal purpose, at any time, and to view any of its documentation.

QTRAX/QTRAXMAX may not be rented or leased but may be permanently transferred, if the person receiving it agrees to the terms of this licence.

If the software is an update, the transfer must include the update and all previous versions.

This licence agreement does not grant you any rights to patents, copyrights, trade secrets, trade names, trade marks (whether registered or unregistered), domain names, business names, corporate names or any other rights, functions or licences in respect of QTRAX/QTRAXMAX.

Grant to QTRAX

You may provide us with any suggestions, information, material, or matter ("information") but in doing so, you:

(a) represent and warrant to us that the information does not infringe the intellectual property or proprietary rights of any third parties (including but not limited to patents, copyrights, trade secrets, or trademarks) and that you have all rights necessary to convey the information to us; and

(b) automatically grant to us a royalty-free, perpetual, irrevocable, non-exclusive right and licence to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, redistribute, transmit, perform and display the information (in whole or part) worldwide and/or to incorporate it in other works in any form, media, or technology now known or later developed for the full term of any rights that may exist in the information.

(c) acknowledge and agree that we are free to use any ideas, concepts, know-how, techniques and suggestions contained in any communications that you send for any purpose whatsoever, including but not limited to creating, manufacturing, and marketing products and/or services using such information.

Privacy Statements

Any information supplied by you to us is supplied solely for the purpose and use by us and will not be sold, rented, distributed to anyone without your prior written consent.

You agree that the terms and conditions of the privacy statement forms an integral part of this licence agreement.

Mailing List

If you do not wish to receive any separate promotional materials from us, you may go to our web site at www.QTRAX/QTRAXMAX.com and unsubscribe. The mailing list is controlled and maintained by us is used solely for the purpose of communicating with you and providing you with promotional materials from us and/or any of its affiliate partners.

Conduct of User and Compliance with Laws

As a condition of your licence to use QTRAX/QTRAXMAX, you warrant to us that you will not use QTRAX/QTRAXMAX for any purpose that is unlawful or prohibited by these terms and conditions or under the applicable law of the land in which you reside.

We have no control over the information and data being disseminated or contained on any Gnutella network. You are ultimately responsible for the material you choose to upload, download and share with others. You will be personally liable for downloading and/or sharing infringing materials or copyrighted works.

We are, however, conscious of the legal issues involving sharing of certain types of files and ultimately these issues will be decided by the Courts or an Act of Parliament/Congress.

In the mean time, however, we expect all users of QTRAX/QTRAXMAX to comply with applicable laws, to respect the moral and legal rights of copyright authors and owners, and to use the Gnutella network in a responsible and law abiding way. While ideas are not fully protectable (only the expression of ideas), users who do share their own ideas with others expect others not to steal their protected works.THEREFORE, DO NOT STEAL FILE TYPES WHICH YOU DO NOT HAVE A LAWFUL RIGHT TO OWN OR USE.

IF YOU FEEL YOU CANNOT COMPLY WITH THESE TERMS AND CONDITIONS, DO NOT USE QTRAX/QTRAXMAX OR ANY OF OUR SERVICES.

In summary, QTRAX/QTRAXMAX is provided for personal use only. You agree to use QTRAX/QTRAXMAX legally. Any illegal and unauthorised commercial use of QTRAX/QTRAXMAX, or the resale of its software and services, is expressly prohibited.

You agree to abide by all applicable local, state, national and international laws and regulations and are solely responsible for all acts or omissions that occur under your use of QTRAX/QTRAXMAX including the content of the types of files you share.

Without limiting the generality of the terms and conditions contained in this licence, you agree not:

(a) to use QTRAX/QTRAXMAX in connection with any competition, surveys, research, pyramid schemes, chain letters, junk email, spamming or any unsolicited messages.
(b) to defame, abuse, harass, stalk, threaten or otherwise violate the legal rights (such as rights of privacy and publicity) of others.
(c) to publish, distribute or disseminate any inappropriate, profane, defamatory, infringing, obscene, indecent or unlawful material or information.
(d) to create a false identity for the purpose of misleading others as to the identity of the sender or the origin of a message or file.
(e) to transmit or upload any material that contains viruses, trojan horses, worms, time bombs, cancelbots, or any other harmful or destructive programs.
(f) to transmit or upload any material that contains software or other material protected by intellectual property laws, rights of privacy or publicity or any other applicable law unless you own or control the rights thereto or have received all necessary consents.
(g) to interfere with or disrupt networks connected to QTRAX/QTRAXMAX or violate the regulations, policies or procedures of such networks including the Gnutella network or Hosts.
(h) to attempt to gain unauthorized access to QTRAX/QTRAXMAX or its web site, other accounts, computer systems or networks connected to QTRAX/QTRAXMAX, through hacking, password mining or any other means.
(i) to violate any applicable laws or regulations including, without limitation, laws regarding the transmission of encryption technology, government and military data, technical data or software prohibited from export under the applicable law of the land in which you reside.

Termination

This licence shall remain in full force and effect unless and until terminated by us or by you.

We may terminate your licence to use QTRAX/QTRAXMAX at any time, with or without cause, with or without notice, effective immediately, for any reason whatsoever. Upon termination of your licence, your right to use QTRAX/QTRAXMAX ceases immediately and you must erase or destroy all copies of QTRAX/QTRAXMAX including any printed information or documentation provided with QTRAX/QTRAXMAX.

If you wish to terminate your licence, you should discontinue the use of QTRAX/QTRAXMAX and remove it from your computer system.

Violation of Copyright, Dissemination, Spamming and Damages

We will immediately terminate your use of QTRAX/QTRAXMAX which we believe, in our sole discretion, is being used to violate copyrighted works, disseminate viruses, worms, Trojans and the like, disseminated illegally obtained files, child pornography, and all such file types prohibited by law, transmit or is otherwise connected with any spam or other unsolicited bulk email, defamatory or offensive contents contained in the files, propaganda and the like and you may be liable to damages by reason of such wrongful conduct.

If actual damages cannot be reasonably calculated then you agree to pay us liquidated damages of $5 for each piece of file type disseminated illegally, spam or unsolicited bulk email transmitted from or otherwise connected with you, otherwise you agree to pay us actual damages, to the extent such actual damages can be reasonably calculated.

Modifications to Terms

We reserve the right to change the terms and conditions regarding the use of QTRAX/QTRAXMAX, our web site or services at any time without giving you prior notice. You are responsible for regularly visiting our web site to review the terms and conditions of the licence agreement, the privacy statement and any other important terms which may affect you. Continued use of QTRAX/QTRAXMAX after any such changes shall constitute your consent to such changes.

Advertising

Any information collected by us is used to communicate with you in order to tailor our products and services to your effectively. We also use your contact details to inform you of any updates to QTRAX/QTRAXMAX, and for the purpose of targeting advertising on behalf of our advertisers. You agree to accept receipt of banner and pop-up advertising only when using the Qtrax/Qtraxmax application in return for using our free QTRAX/QTRAXMAX file sharing software.

Disclosure of Information

We reserve the right at all times to monitor, review, retain and/or disclose any information as necessary to satisfy any applicable law, regulation, legal process or governmental request.

Distribution

QTRAX/QTRAXMAX may be freely distributed, provided the distribution package is not modified. No person or company may charge a fee for the distribution of QTRAX/QTRAXMAX without written permission from us. Any illegal distribution of QTRAX/QTRAXMAX by you is a breach of this licence agreement and your licence is immediately and automatically terminated.

Disclaimer of warranty

QTRAX/QTRAXMAX is provided "AS IS," without a warranty of any kind. All express or implied representations and warranties, including any implied warranty of merchantability, fitness for a particular purpose or non-infringement, are hereby excluded.

We do not warrant, guarantee or make any representations that the functions contained in QTRAX/QTRAXMAX will meet your requirements or that the operation of QTRAX/QTRAXMAX will be uninterrupted or error free. Any other software and any hardware furnished with or accompanying QTRAX/QTRAXMAX is not warranted by us.

Limitation of liability

We shall not be liable for any damages suffered by you or any third party as a result of using or distributing software. We shall not be liable for any lost revenue, profit or data, or for direct, indirect, special, consequential, incidental or punitive damages, however caused and regardless of the theory of liability, arising out of the use of or inability to use software, even if the owner has been advised of the possibility of such damages.

The links included within the QTRAX/QTRAXMAX's web site may let you leave its web site to the linked web site ("linked sites"). The linked sites are not under our control and we are not responsible for the contents of any linked site or any link contained in a linked site, or any changes or updates to such sites.

We are not responsible for webcasting or any other form of transmission received from any linked site. We are providing these links to you only as a convenience, and the inclusion of any link does not imply endorsement by us of the site or any association with their operators.

Indemnity

You agree to indemnify and hold us, our parents, subsidiaries, affiliates, officers and employees, harmless from any claim, demand, or damage, including reasonable attorneys' fees, asserted by any third party due to or arising out of your use of or conduct from QTRAX/QTRAXMAX and our web site or services.

Severability

You must assume the entire risk of using QTRAX/QTRAXMAX. We shall not be liable for any damages even if we have been informed of the possibility of such damages, or for any claim by any other party. You bear total responsibility for checking files and attachments which may contained viruses, trojan horses, worms, time bombs, cancelbots, or any other harmful or destructive programs with appropriate anti-vandal and/or anti-virus checkers.

Prohibition on Use

You may not use, copy, emulate, clone, rent, lease, sell, modify, decompile, disassemble, otherwise reverse engineer, or transfer the licensed software, or any subset of QTRAX/QTRAXMAX, except as provided for in this licence agreement. Any such unauthorized use shall result in immediate and automatic termination of this licence and may result in criminal and/or civil prosecution.

Automatic updates and downloads

You agree that in order for QTRAX/QTRAXMAX to work properly, QTRAX/QTRAXMAX will from time to time automatically download updates to your computer in order to update the QTRAX/QTRAXMAX software. You hereby irrevocably consent to allow such automatic updates to take place.

Entire agreement

This licence agreement constitutes the entire agreement between us and you and supersedes any other prior agreements or communications regarding QTRAX/QTRAXMAX. If any provision of this agreement is held invalid, the remainder of this agreement shall continue in effect.

Waiver

The failure by us or any of our licensors to enforce at any time any of the provisions of this agreement, to exercise any election or option provided herein, or to require at any time the performance by you of any of the provisions herein will not in any way be construed as a waiver of such provisions.

Governing law

This licence agreement shall be governed and be construed in accordance with the laws of the State of Delaware.

Reservation of Rights

All rights not expressly granted here are reserved by us.
